Coworking Terms and Conditions

Sagebrush Services, LLC

These terms and conditions govern your use of coworking services provided by Sagebrush Services, LLC (“Service Provider”). By using the coworking space, you agree to be bound by these terms.

1. Service Authorization and Eligibility Requirements

Active Sagebrush License Requirement: You must maintain an active Sagebrush mailroom services license to access coworking services. Coworking access is a supplemental service available exclusively to current mailroom service members in good standing.

Automatic Termination: If your Sagebrush mailroom license expires, is suspended, or is terminated for any reason, your coworking access terminates immediately and automatically without further notice. You may not use the coworking space after your mailroom license ends.

Service Agreement Nature: This is a service agreement, not a lease. You receive no possessory interest, tenancy rights, or exclusive use of any space. Service Provider retains complete control over the premises and may modify, restrict, or terminate access at any time.

2. Reservation Requirements and Capacity Limits

Advance Reservation Mandatory: You must reserve coworking space at least one (1) business day in advance. Same-day reservations are not available. Service Provider reserves the right to deny any reservation request.

Capacity Limitations: The coworking space has a maximum capacity of five (5) people at any given time. If capacity is reached, your reservation will be placed on a waiting list. Service Provider makes no guarantee of space availability.

Reservation Cancellation: Service Provider may cancel your reservation at any time for any reason, including but not limited to: maintenance needs, building emergencies, other member conflicts, or capacity management. You receive no compensation for cancelled reservations.

3. Access Hours and Entry Procedures

Business Hours: Standard coworking access is available during regular business hours as posted at Ridgeviewmailcenter.com. Business hours are subject to change without notice.

Outside Business Hours: If you need access outside posted business hours, you must call ahead to confirm availability and obtain authorization. Service Provider is under no obligation to accommodate outside-hours requests.

Visitor Access: You may visit the office during posted business hours without a reservation. Workspace use, however, requires advance reservation as specified in Section 2.

Entry Authorization: Service Provider may deny you entry at any time for any reason, including but not limited to: safety concerns, capacity limits, suspected policy violations, or operational needs.

4. No Guaranteed Access

Service Provider makes no guarantee regarding:

You acknowledge that space availability is first-come, first-served based on accepted reservations, and that Service Provider may prioritize certain members or uses at its sole discretion.

5. Assumption of Risk and Waiver

Voluntary Use: You voluntarily choose to use the coworking space and acknowledge that such use involves inherent risks, including but not limited to:

Assumption of All Risks: You expressly assume all risks associated with your use of the coworking space, whether known or unknown, foreseeable or unforeseeable. You acknowledge that Service Provider has made no representations regarding the safety or suitability of the premises.

Waiver of Claims: You waive any and all claims against Service Provider, its owners, employees, agents, contractors, and affiliated entities arising from your use of the coworking space, except for claims arising from Service Provider’s gross negligence or willful misconduct.

6. Limitation of Liability

Maximum Liability Cap: Service Provider’s total liability to you for any claim arising from or related to coworking services, regardless of the theory of liability, shall not exceed the total fees you paid to Service Provider for coworking services in the thirty (30) days preceding the claim.

Excluded Damages: Service Provider shall not be liable for:

No Bailment: Service Provider is not a bailee of your personal property. You retain sole responsibility for all personal belongings. Service Provider assumes no duty to safeguard, secure, or insure your property.

7. Indemnification

You agree to protect, indemnify, defend, and hold harmless Service Provider, its owners, officers, employees, agents, contractors, and affiliated entities from and against any and all claims, demands, causes of action, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

This indemnification obligation survives termination of your coworking access.

8. Prohibited Uses and Conduct

You may not use the coworking space for:

Service Provider may immediately terminate your access without refund for any prohibited use.

9. No Personal Property Storage

You may not store personal property in the coworking space outside your active reservation period. Service Provider may dispose of any property left on premises without notice or liability. Service Provider assumes no responsibility for lost, stolen, or damaged personal property.

10. Insurance and Personal Responsibility

Your Insurance Requirement: You are strongly encouraged to maintain appropriate insurance coverage for your personal property, business activities, and liability exposure. Service Provider’s insurance does not cover your property or activities.

Your Responsibility: You remain solely responsible for:

Service Provider reserves the right to:

Service Provider will provide notice of material changes when practicable but is under no obligation to do so.

12. Termination

Automatic Termination: Your coworking access terminates automatically and immediately upon:

Immediate Termination Without Cause: Service Provider may terminate your coworking access at any time, for any reason or no reason, with or without notice, and without refund or compensation.

Effect of Termination: Upon termination, you must immediately cease all use of the coworking space and remove all personal property. Service Provider may dispose of any property you leave behind.

No Refunds: Service Provider does not provide refunds or credits for unused coworking access, cancelled reservations, or early termination.

13. Governing Law and Jurisdiction

Nevada Law Applies: These terms are governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of law principles.

Exclusive Jurisdiction: You consent to the exclusive jurisdiction and venue of the state and federal courts located in Washoe County, Nevada for any dispute arising from or related to these terms or your use of coworking services. You waive any objection to jurisdiction or venue in these courts.

Waiver of Jury Trial: You waive your right to a jury trial in any proceeding arising from or related to these terms or your use of coworking services.

14. No Partnership or Agency

Nothing in these terms creates a partnership, joint venture, employment relationship, or agency relationship between you and Service Provider. You have no authority to bind Service Provider or make commitments on its behalf.

15. Severability and Waiver

If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force and effect. Service Provider’s failure to enforce any provision does not constitute a waiver of that provision or Service Provider’s right to enforce it in the future.

16. Entire Agreement

These terms, together with your Sagebrush mailroom service agreement, constitute the entire agreement regarding coworking services. Service Provider may modify these terms at any time by posting updated terms or providing written notice.
